About these terms

These terms govern access to the public CareMin website and any demonstration, trial, or CareMin service made available by CareMin (referred to as CareMin, we,us, or our). By accessing or using CareMin, you agree to these terms.

Paid subscriptions and customer deployments may also be governed by an order form, subscription agreement, data processing agreement, or other written customer agreement. If there is an inconsistency, the signed customer agreement takes priority for that service.

Who may use CareMin

You must be legally capable of entering into these terms. If you use CareMin for an organisation, you confirm that you are authorised to act for that organisation and that the organisation accepts these terms. Access may be limited to users authorised by a CareMin customer or administrator.

What CareMin provides

CareMin provides software for care-minute monitoring, RN coverage review, operational data imports, role classification, calculation records, evidence management, scenarios, and reporting outputs. Features may depend on the agreed plan, configuration, data supplied, and product version.

Website descriptions and demonstrations are general product information. They do not create a subscription, guarantee that every feature is available to every customer, or replace a signed customer agreement.

Accounts and access

You and your organisation are responsible for:

• providing accurate account information;
• keeping login details confidential and using appropriate security controls;
• assigning and removing user access promptly;
• all activity performed through authorised accounts; and
• notifying CareMin promptly of suspected unauthorised access or security incidents.

Accounts are personal to the authorised user and must not be shared. CareMin may require password changes, additional authentication, or other reasonable security measures.

Customer data

As between the customer and CareMin, the customer retains ownership of data it submits to CareMin. The customer grants CareMin a limited, non-exclusive right to host, copy, process, transmit, display, back up, and otherwise handle that data only as reasonably necessary to provide, secure, support, and administer the service, follow authorised instructions, and meet legal obligations.

The customer is responsible for ensuring that:

• it has authority to collect, use, and provide all submitted data;
• the data and instructions it provides are lawful and reasonably accurate;
• only information necessary for the relevant purpose is submitted;
• required notices, consents, and permissions have been obtained; and
• its use of outputs and exports complies with applicable obligations.

No professional advice or compliance guarantee

CareMin is a monitoring, calculation, and evidence-management tool. It does not provide legal, accounting, audit, clinical, financial, or regulatory advice. CareMin does not act as an auditor and does not certify a provider's compliance.

Providers remain responsible for verifying source data, role classifications, facility targets, calculations, staffing decisions, reporting periods, and submissions against the requirements that apply to them. Use of CareMin does not guarantee compliance or prevent an audit, investigation, finding, penalty, loss, or reporting error.

Acceptable use

You must not, and must not help another person to:

• use CareMin unlawfully, fraudulently, or in breach of another person's rights;
• upload malicious code or content intended to disrupt or compromise the service;
• attempt to bypass authentication, permissions, usage limits, or security controls;
• access another customer's data or account without authority;
• reverse engineer, decompile, scrape, copy, or probe the service except where the law does not permit that restriction;
• resell or sublicense CareMin unless a written agreement expressly permits it; or
• use the service in a way that materially disrupts it for other users.

Intellectual property

CareMin and its licensors retain all rights in the website, application, software, design, documentation, branding, and underlying technology. These terms give you only the limited, revocable, non-transferable right to access and use CareMin for its intended business purpose during the authorised period.

Feedback may be used by CareMin without restriction or payment, provided we do not identify you or disclose confidential customer information without permission.

Privacy and confidentiality

Our privacy policy explains how CareMin handles personal information. Additional confidentiality, security, hosting, and retention obligations may be included in a customer agreement. Each party must protect the other's confidential information using reasonable care and use it only for the purpose for which it was provided, except where disclosure is authorised or required by law.

Availability and changes

We aim to provide a reliable service but do not promise uninterrupted or error-free availability. Maintenance, security work, provider outages, internet failures, and events outside reasonable control may affect access. We may modify features where reasonably necessary to improve, secure, maintain, or comply with legal requirements affecting the service.

Service levels, support commitments, backup arrangements, and notice requirements are governed by the applicable customer agreement where one exists.

Fees and subscriptions

Fees, billing frequency, taxes, subscription periods, renewal, cancellation, and payment terms are set out in the applicable order form or customer agreement. Arranging a walkthrough does not create a paid subscription or obligation to purchase CareMin.

Third-party services and links

CareMin may interoperate with customer systems or third-party providers and the website may link to government guidance, LinkedIn, or other external resources. Third-party services are governed by their own terms and policies. We are not responsible for third-party content, availability, or changes, but this does not limit any obligation CareMin has regarding providers it engages to deliver the CareMin service.

Government systems and endorsement

CareMin is not operated, approved, certified, or endorsed by the Australian Government. Unless expressly stated in a signed agreement, CareMin does not lodge a provider's reports directly with the Government Provider Management System or another government system. Official requirements and guidance may change, and users must check current authoritative sources.

Australian Consumer Law

Nothing in these terms excludes, restricts, or modifies a consumer guarantee, right, remedy, or liability that cannot lawfully be excluded under the Australian Consumer Law or another applicable law. Where a guarantee applies and our liability can lawfully be limited, our liability is limited, at our option, to supplying the affected services again or paying the cost of having them supplied again.

Disclaimers and liability

To the maximum extent permitted by law, the website and any free demonstration or trial are provided on an as available basis. You are responsible for independently checking information before relying on it for operational, reporting, assurance, or compliance decisions.

To the maximum extent permitted by law, CareMin is not liable for indirect, incidental, special, exemplary, or consequential loss, or loss of profit, revenue, opportunity, goodwill, anticipated savings, or data, arising from use of the public website or reliance on general website content. Liability relating to a paid CareMin service is governed by the applicable customer agreement. This section does not limit liability that cannot lawfully be limited.

Suspension and termination

CareMin may suspend or restrict access where reasonably necessary to address a security risk, suspected unlawful use, material breach, non-payment, or risk to the service or another customer. Where practicable, we will provide notice and a reasonable opportunity to remedy the issue. Customer termination rights and data return arrangements are governed by the applicable customer agreement.

Changes to these terms

We may update these terms to reflect changes to CareMin, our providers, or applicable law. The current version will be published on this page with its updated date. If a material change affects an existing paid service, notice will be provided as required by the customer agreement or applicable law.

Governing law

Unless an applicable customer agreement states otherwise, these terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and courts entitled to hear appeals from them.
